DEMAND & AFFORDABILITY: The apartment industry at large is in need of supply and if this demand isn’t supplied existing housing concerns and affordability challenges/issues, will get worse. The beauty in the demand is the positive social, economic, and employment impact the industry has on the nation while we work to resolve the crisis. Affordability needs to remain top of mind; we are hovering around 40% when it comes to US renter households. When residents are paying too much for housing “cost-burdened” rental households (pay >30% of income on housing) increase and homelessness becomes a concern.  In a panel discussion on “Harvard's Joint Center for Housing Studies 2019” Jonathan Reckford, CEO, Habitat for Humanity reminds us of the significance of the issue by sharing statistics. He said the rise in unsheltered homeless is increasing nationally and more specifically in the Western US. For example, since 2014 unsheltered homelessness has increased by 25% in California, 50% in Oregon, 80% in Washington, and 100% in Colorado. Further, he noted, 50% of the homeless are “economically homeless” where they have jobs but can’t afford a place to live. According to the National Apartment Association and National Multifamily Housing Council’s research we need an additional 328,000 doors yearly, or 4.6 million doors by 2030, to meet the demand; however, since 1989 that number has only been accomplished two times. Further, the industry average (2011-2018) failed to meet the goal by 73,000 doors annually. ECONOMY: The multifamily industry, to include residents, supports 17.5 million jobs, and contributes $3.4 trillion/yr ($9.3 billion/day) to the US economy. What are the major factors that fuel this? Residents, new development, restoration of existing supply, and operations. 16 million jobs and $3.0 billion in economic activity attribute to resident spending while the remaining 3 sectors accounted for 1.43 million jobs and $394 billion in economic impact. The government, developers, lenders, and private investors need to work together in order to supply the demand while working to simultaneously make the cost of housing more affordable. Three things are certain… 1) We have a long runway ahead in the apartment investment, development, and restoration industry, 2) we need more affordable workforce housing, and 3) the demand is helping fuel the economy. One of the most significant economic issues America faces is affordable housing. There’s a clear lack of new completions in the Class B/C class space. He stated recessions "do not die of old age" and noted how this recovery is different. It has been a long - slow recovery and, again, “recoveries do not die of old age.” Despite all the buzz and recession obsession there are parts of the country where employment is not where it was pre-crisis. This means we haven’t fully recovered and, typically speaking, a full recovery comes before another crisis, or recession, so theoretically we still have room for more recovery.  However, recession obsession is doing its best to overshadow the high demand for, and strength of, multifamily workforce housing.   Why is that?  The National Apartment Association’s Units Magazine says it’s simple “Negative news sells, and we are in the longest period of sustained economic growth the U.S. has ever experienced.” There’s no doubt an economic slowdown is going to happen sometime - we’re guaranteed another one BUT the “steep downturn” that everyone is obsessing over may not occur.  Staying on topic specific to multifamily, demand is high, supply is low, vacancy rates are well below normal, affordable apartment communities are positioned to weather the economic storm, and performance remains solid. Let’s put it into perspective from an investment point of view… According to The National Apartment Association 40% of US households are renters. There’s a clear lack of new completions in the Class B/C class space. No matter what the investment, they have to be exceptional when it comes to risk management. One current trend among PE investors is in Deal Specific Direct, Multifamily, Investments (DSDI) that support the workforce (the backbone of our economy) by providing them safe affordable housing. The demand for such an asset in select markets has, currently, outpaced supply. Investors are leaning in on DSDI as there are several benefits for them. Partnering with a trusted team of operators, they know and have access to, in a DSDI is a great way to preserve capital, shelter/defer taxes, benefit from cash flow (while appreciation is forced and occurring over time), and create generational wealth. DSDIs allow PE investors deal specific opportunities while relieving them from managing the day to day operations (burdensome and time-consuming). Partners and clients are vital to your success. In my businesses, we rely on private equity partners, customers, and partners that refer, or repeatedly do business with us time and time again. Without these individuals the businesses would not survive and we couldn’t sustain or expand. Genuine relationships are important because products and services, don’t always speak for themselves; it’s important to understand the significance of forming deeper meaningful relationships with people you partner, and do business, with. I’ve been taking clients to dinner to spend quality time with them and to get to know them better all the while providing them the same opportunity. Be genuine, relax, and have a good time getting to know them; talk about business but also allow the conversation to get intimate and personal too. Through sincere and natural conversation ask questions about their families, hobbies, what they love doing, how they got into the business, where they grew up, etc… Sharing personal information in this setting strengthens and builds the relationship. Every interaction genuinely builds trust and allows you to build on the relationship and long-term partnership. Opening up, you may be surprised at how much you learn about each other, and have in common, allowing you have fun in the process while building a sustainable relationship. Question: I'm currently seeking an investment method that suits my goals, but am really having a hard time making a decision on how to start my investment portfolio. My goal is like most others, to be financially free and generating a high income. I currently have around 125k to comfortably invest without draining my savings and will be keeping up with a decent savings rate each year (50k+). I can't help but think about turn-key investments (specifically Rent to Retirement), but also know that I have enough saved to contribute to a syndication deal or have a more hands-on experience. I'm ready to dive in, but I'm nervous that I'll pass up a better opportunity - such a vicious cycle. I would LOVE to start big and be a part of a syndication deal, but I want to be a partner, not the person running the show. While being an accredited investor is one of my goals, I'm not there yet so it limits some of the investments that I'd like to be a part of. I’m a Business operator, Entrepreneur, and MF Investor. Edified Equity is part of a multifamily acquisitions and asset management firm. I’ve been Actively and Passively investing into RE for 5yrs. For the past 2yrs I’ve focused in on servicing the backbone of our economy through MF workforce housing apartment communities. This is an asset where demand is outpacing supply and one that will always be needed regardless of the market cycle. I just read a CBRE Research brief today that showed, through data, MF was the most resilient property type regarding recessions I Focus primarily on Market analysis, investor relations, underwriting, & thought leadership. I provide consultative, quality, complimentary, education through the EEPodcast, EE Youtube, LinkedIn Articles, BP Blog, my Closed FB Group, and speaking at events like this one. State of the mid 2019 MF Market The Unemployment rate is dropping and Household growth is outpacing new apartment completion, further luxury housing is primarily what’s coming online. The supply of affordable housing has remained relatively unchanged & that’s where the demand is. Further we’re becoming a Renter’s nation for several reasons: • People have a Preference for starting families later in life • There’s an Affinity to live, work, & play in urban areas where single-family homes are expensive so instead they rent B & C class • student loan debt is prevalent so taking on more seems insurmountable • The ‘American Dream’ of owning a home is changing as many saw their parents, their friends parents, and family members take a hit in the great recession • At the same time, empty nesters and Baby Boomers are trending toward “right-sizing” & minimizing & they’re renting too. Like millinials they enjoy amenities (pool, health club, dog parks, landscaping), the freedom to move around, and the convenience renting offers. What are we doing about this time: We’re Sticking to our mandates and conservative underwriting. If you buy in the right market, finance properly, don’t over leverage, and manage well – B & C class workforce housing is going to weather the storm. Done correctly, this is can be a recession proof asset class. Our Firm has the luxury of, and ability to, be very selective with investments and opting out until the right opportunity comes our way. We’re not in the business of doing volume and collecting fees - we’re investors if the numbers don’t pass our stress test we don’t move forward. BUT I believe there are deals to be made in today’s market. Why attend: Can’t beat the price, no travel expense, no one to watch the kids, and you can plug into live or later on through the recordings, which for me… all of those reasons are why this format is preferable. Once they completely understand how much value and what a great opportunity you are bringing them they shouldn’t have any problems with it (you making money too). I’ve had limited partners tell me some of the best deals they’ve been a part of were the deals they paid the highest amount of fees to. Many LPs want the general partners (GPs) to be paid and rewarded for their work and like setting up “when you win - we all win structures”. Some LPs get nervous if they see the GPs giving up too much in order to make a deal work. You’re correct though if the limited partners don’t feel 100% aligned with the structure, they’ll say no and, you won’t be able to put together any deals/opportunities. However, being 100% transparent and telling the entire story from the get-go is the right thing to do and it will help you earn their trust. The truth of the matter is…, as you know, there’s a ton of uncompensated work and expenses that go in to a successful syndication and you should be paid/compensated. Think about, and detail, the following 10 points: 1) There’s a great deal of time and energy it takes for the acquisitions team to analyze (thoroughly underwrite) enough deals to finally find a true investment opportunity 2) You are bringing their biggest partner to the table (agency financing) for them by qualifying for the loan 3) The GP team supplies all the risk capital, liquidity, and track record 4) You’ve worked hard and established/built essential relationships with Commercial Brokers and property management companies to help these off-market deals surface 5) You’ve successfully negotiated the opportunity at a price that works 6) You’ve performed the paper (financials, expenses, T24, P & L, etc…) and physical due diligence (numerous site visits, walk-throughs, & inspections) 7) You’ve built trusted relationships that took time, in some cases several years, to establish in regards to the other equity partners (aka LPs) that are investing alongside of them 8) The GPs are going to Operate the deal/investment and create value while increasing the NOI and ultimately the value of the property 9) You are bringing them tax sheltered/deferred money and provide a phenomenal alternative investment that has very unique tax benefits (through cost segregation and bonus depreciation), cash flow, and profit sharing at refinance (tax free) &/or sale & 10) The GP team carries all the weight and fiduciary responsibilities

We’re doing our due diligence, running the asset through a stress test, & confidently pressing forward with acquisitions that pass the exam. The high scoring offense (market appreciation) may be on borrowed time; however, Workforce Housing CAN withstand the blitz of a #Recession as we have an asset that’s pretty resilient. We’re buying defensively based on location, cash flow, conservative underwriting, management, and debt. We’re NOT alone on our predictions… Bendix Anderson, writer for The National Real Estate Investor notes… “The apartment sector is likely to hold up, according to industry experts!” Further, Andrew Rybczynski, senior consultant for CoStar Group Portfolio Strategy stated “Apartments are still resilient against a possible recession,” he says Demand is outpacing supply and “There’s no reason why the homeownership rate won’t fall further”. A downturn in the economy is more likely to drive people to affordable apartment communities (B & C Class) vs. buying a condo or house. To top it off, and make our choice of asset even more valuable and desirable, in December of 2018, CBRE reported only a small amount of workforce housing has been developed over the past 10yrs. Further, “many older apartment communities have been demolished to make way for high-end multifamily developments.” CBRE, notes “the multifamily industry removes more than 100,000 housing units each year. Michael Blank’s Syndicated Deal Analyzer: http://www.themichaelblank.com/syndicated-deal-analyzer/ We pulled back the curtain and shared our Underwriting Method on a 104 Door, C Class, Apt Community located in a Solid B area. The Apartment was 25 to 50% below market rent, mismanaged, in need of renovations, & 20% vacant. This scenario allows us to create value and appreciate upside quickly within the 1st 3 years. Long story short we worked with our property management company, lenders, the assessor’s office, chamber of commerce, cost segregation professionals, and purchased it for $4,098,100.00 ($39,405.00/Door). We’re implementing our business plan and will operate/execute aggressively although we underwrote conservatively in the following ways: 1) Modeled a Higher Cap at resale increasing our exit Cap by 1.2% 2) Slow on the upside ramp up & Value Add (PM thought we could do this over 12-18mo & we modeled 3yrs) 3) Kept our Expenses Higher than anticipated 4) Stayed Low on Rent Potential. We kept increases under the low end of Comps. Only increasing them enough to gain a 20% ROI on the rehab. 5) Overestimated on Taxes 6) Kept Vacancy much Higher than anticipated (5% for Market we’re at 12%) 7) Went Above the NOI with Replacement Reserves Ultimately our goal is to increase our NOI and add 3.5MM in value. We’re holding it for 5years and will sell or refinance and hold. We have long-term debt locked and feel confident we can weather a storm allowing us to sell on opportunity vs the calendar. Seven years later Rowling, according to Forbes, was the 1st author to become a billionaire via book writing. We’ve heard from Lao Tzu that “The journey of 1000 miles begins with 1 step” – be mindful, as you must take it and be willing to take countless additional steps as well. Perfectionism: Don’t get caught up in short-term results; never quit. If you’re chasing your dream keep at it; if you’re wondering whether or not it can really happen I urge you to dive in and start swimming. You don’t need to be perfect to get started. It’s better to be in action without a perfect plan than it is to be paralyzed and inactive. Having a deep understanding of what it’s going to take and having a true perspective on prioritization, patiently being persistent, and how action trumps perfectionism can help you make your dreams a reality. My K-1s show a loss even though I’m cash flow positive! WHAT? My K-1s show a loss even though I’m cash flow positive! It's True! A great way to shelter income as an owner, partner, or limited partner of a cash flowing multifamily (apartment community syndication) asset is to utilize cost segregation in the 1st year of ownership. This allows you to, legally, accelerate the depreciation of the asset over 5, 7, &/or 15 years vs. straight 27.5 years. Furthermore, if you claim 100% bonus depreciation, in the 1st year of ownership, the income sheltering effect is dramatically increased by the tax savings. You can 100% bonus depreciate any component with a useful life of less than 20 years. This means you can immediately depreciate it by 100% vs. spreading it out over 27.5 years. Generally speaking, when you combine bonus depreciation and a cost segregation study, on a multifamily asset, you can immediately expense 25-30% of the entire asset in the 1st year! Quick History-Story: When Charles Schwab became President of Bethlehem Steel in 1903, he made an unusual offer to his consultant, Ivy Lee: “Show my staff, and me, a way to get more done in less time and I’ll pay you any fee within reason.” Without batting an eyelid, Lee offered to give Schwab a quick and simple tip that would boost his productivity by at least fifty percent. Here’s the gist of what he said in the twenty minutes he had before Schwab had to leave to catch a train: 1. Take a card and write down the six most important things you have to do tomorrow. Keep it accessible, in sight, & with you at all times (Pocket or Purse). a. Number them in order of importance aka prioritize. 2. First thing tomorrow, start working on item one until you finish it. 3. Next, do the same with item two, item three and so on, until it’s time to stop for the day. 4. Don’t worry if you only finish one or two items on the list. If you can’t finish them with this system, you’d never have finished them with any other system. This way, you will at least have finished your most important tasks. Lee invited Schwab to try the system for as long as he liked and pay what he thought it was worth. Two weeks later, Schwab sent Lee a check for $25,000.00! Keep in mind this was in 1903. At the time, some people said it was foolish of Schwab to pay so much for a simple idea, and so little consulting time. But Schwab later credited Lee’s advice with helping him transform Bethlehem Steel, from a virtual unknown co. into the largest independent steel producer in the world, in less than five years. In the process, Schwab earned a personal fortune of over $100million. Eastern, US. Adding $9,395,000.00 in assets under management to the portfolio. Key Insights & Takeaways from my POV: Speaking on What I know & how to acquire: We specialize in acquiring and managing B & C class safe affordable workforce housing a product in high demand. What Is Workforce Housing? In-between luxury and subsidized housing Why is there Such a Shortage? Developers cost = cost why not get more $in rent Why is the Demand High for Workforce Housing (outpacing supply)? 43 million American homes as renters; 1/2 spend 30% of their budget on rent & 28% spend 50% of their budget on rent! What about the Recession (Virtually Recession Proof) Experienced Operator: (NOI) dropped 2% from 2007-2008 & another 1% drop from 2008-2009; since then, it has steadily risen and hasn’t stopped. if you buy in the right market, finance properly, don’t over leverage, and manage well – B & C class workforce housing is going to weather the storm. He proved, if done correctly, this is can be a recession proof asset class. Home-ownership is at an all-time low and renting is popular as well as out of necessity. BIG Problem 4.6 million workforce doors in next 12yrs per the National Apartment Association & the National Multifamily Housing Council. Equity Capital & debt servicers love MF WHY Attend It virtual (no travel arrangements or costs associated), The List, the Content, the Speakers, the audience all levels, the guarantee, the recording (that’s how I learn) it’s going to be well worth it have that library at your fingertips. This is exactly what you want when scouting and underwriting potential deals. Now don’t get me wrong you should always stick to your conservative stress test underwriting and deal criteria mandates. For example, never underwrite for the poised boom to occur – the deal must work in a steady market. On the deal mandate side - we don’t look at any areas that have less than 250,000 people in the MSA, we like 50+ Doors and 100+ is preferable (Pro, Best in Class, 3rd party management), only buy B & C Class Cash Flowing, workforce housing, with a Value-Add &/or Upside play, & we have targeted equity partner returns to meet – in other words, we want an undervalued mismanaged asset that is in an under the radar (yet) emerging market that will allow us to create massive value and force appreciation within 1-3 years. Having said all that - there can be areas of the country that are going to be HOT but they’re NOT making national news. So don’t turn away from a market that’s not on everyone’s radar. This is what you WANT! We’re investors we’re NOT gamblers there’s a method to this. So… How do you know where to go and how do you get there, before the herd arrives, while the price per door works & institutional money hasn’t shown interest yet? Go granular at the local level. Ask the chamber of commerce and the city planners office what’s going on, what’s been approved vs. speculation, how many millions, or billions, are coming into to the area and from what companies. What will this do for jobs and the economy? Will this make people want to relocate and live in the area? The key is to buy in the “Next Austin” before Austin becomes The Austin it is today! If you can get into the right place, at the right time (Before the BOOM), at the right (undervalued) price… when the Boomtown appreciation occurs, in the next 3 to 5 years, everyone is going to be happy!
